Terms of Use

Effective date: November 7, 2026

1. About these Terms

These Terms of Use constitute a legally binding agreement between you and Craft Concepts and Technology Nigeria Limited, the operator of Naijacraft, Naijacraft.com, the Naijacraft mobile application, and related Naijacraft services.

In these Terms:

  • “Naijacraft,” “we,” “our,” and “us” mean Craft Concepts and Technology Nigeria Limited.
  • “Platform” means Naijacraft.com, Naijacraft applications, music players, dashboards, APIs and related services.
  • “Services” means the content, features, products and services made available through the Platform.
  • “User,” “you,” and “your” mean any person or organisation accessing or using the Services.
  • “Content” includes music, sound recordings, compositions, artwork, photographs, text, video, metadata, Artist names, profiles, comments, playlists and other submitted material.

These Terms incorporate by reference the Privacy Policy, Cookie Policy, Creator and Upload Terms, Rights and Royalties Policy, Copyright and Takedown Policy, Membership and Premium Terms, Downloads and Offline Listening Policy, Artist Support Terms, Advertising and Promotions Terms, Payout and Withdrawal Policy, Refund and Cancellation Policy, Community Guidelines, and other policies published in the Naijacraft Legal Centre.

If a specific service has additional terms, those additional terms apply together with these Terms. Where there is a direct conflict, the more specific terms govern that particular service.

2. Acceptance of the Agreement

By visiting the Platform, creating an account, uploading content, playing music, purchasing a service, receiving a payment, managing an Artist page, or otherwise using the Services, you confirm that:

  • You have read and understood these Terms.
  • You agree to be legally bound by them.
  • You have the legal capacity and authority required to enter into this Agreement.
  • If you act for an Artist, label, company or another person, you are authorised to act for and bind that person or organisation.

If you do not agree to these Terms, you must not create an account, upload content, purchase a service or continue using the Platform.

Nothing in these Terms removes or limits any right that cannot lawfully be excluded under Nigerian law.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to independently create an account, purchase services, submit monetized content or receive payments.

Where Naijacraft introduces a specifically approved account route for a person below 18, that person may use the Platform only with verifiable consent and supervision from a parent or lawful guardian. Monetization and payout features may require a verified adult beneficiary.

You must not use the Platform if:

  • Applicable law prohibits you from receiving the Services.
  • Your account has previously been terminated for fraud, infringement or serious abuse, unless Naijacraft expressly permits a new account.
  • You are acting for another person without lawful authority.

4. Naijacraft Accounts

Some Services require a Naijacraft account.

When registering, you must provide accurate, current and complete information. You must keep your username, password, verification codes and other access credentials confidential.

You are responsible for activity performed through your account where that activity was authorised by you or resulted from your failure to take reasonable security precautions.

You must notify Naijacraft promptly if you discover:

  • An unauthorised login or password change.
  • An unfamiliar administrator, team member or payout beneficiary.
  • Unauthorised changes to an Artist page, release, rights schedule or bank account.
  • Any other suspected compromise of your account.

Naijacraft may require email, phone, identity, Artist, rights, bank-account, tax or payment verification before granting access to sensitive features.

Accounts may not be sold, transferred, rented or shared with another person without Naijacraft’s prior written approval.

5. Account Roles and Artist Management

Naijacraft distinguishes between account access, Artist management, public verification, copyright ownership, royalty ownership and payout eligibility.

These are separate statuses.

An account may be approved as an Artist Team Owner, Artist, Manager, Label or another supported team role. Each team member receives only the permissions specifically assigned to that account, such as permission to:

  • Edit an Artist profile.
  • Manage the Artist’s catalogue.
  • View analytics.
  • Manage team members.
  • Submit rights schedules.
  • Invite listed rightsholders.

An ordinary site-administration account does not automatically receive Artist-management authority.

Uploading a release, creating an Artist name, receiving Artist-team access, receiving public Artist verification, or managing an Artist page does not automatically grant any Master or Composition royalty percentage.

Creating a genuinely new primary Artist identity during an authorised upload may establish the uploader as the initial Artist Team Owner. Creating or crediting a featured Artist does not grant management ownership of that featured Artist. A featured Artist profile may remain unclaimed until the genuine Artist or authorised representative successfully completes the claim process.

Naijacraft may correct, suspend or revoke Artist-team access where it resulted from error, unauthorised activity, false evidence or account compromise.

6. Service Communications and Marketing

By maintaining a Naijacraft account, you agree to receive communications that are reasonably necessary to operate the Services, including:

  • Verification and security messages.
  • Password and account-recovery messages.
  • Release-review decisions.
  • Rights and invitation notices.
  • Payment, subscription and payout notices.
  • Important policy, safety or service changes.

These operational communications may be necessary to perform our agreement with you or protect the Platform and may not always include an unsubscribe option.

Marketing or promotional communications will be sent only where legally permitted. You may withdraw marketing consent or unsubscribe from promotional messages without losing access to necessary account and service communications.

Personal information is handled according to the Naijacraft Privacy Policy and applicable Nigerian data-protection law.

7. Changes to the Services or these Terms

Naijacraft may improve, modify, suspend or discontinue features where reasonably necessary for security, legal compliance, maintenance, service quality, commercial sustainability or the protection of users and rightsholders.

Where a change materially affects paid access, creator rights, payments, privacy or other significant user interests, Naijacraft will provide reasonable notice where practicable.

Naijacraft may update these Terms. The updated document will display a new effective date.

For material changes, we may notify you through email, your dashboard, an in-platform notice or another reasonable method. Where required, we may ask you to accept the updated Terms before continuing to use affected Services.

Changes do not retroactively remove accrued rights or erase existing financial, rights, consent, security or dispute records.

If you do not agree with a material update, you may stop using the affected Services and close your account, subject to the preservation of records required by law or legitimate financial and rights obligations.

8. Acceptable Use

You may use Naijacraft only for lawful and authorised purposes.

You must not:

  • Upload or distribute an unauthorised copy of another person’s copyrighted or trademarked work.
  • Upload music, samples, artwork, performances or metadata that you do not own or have permission to use.
  • Impersonate another person, Artist, label, organisation or Naijacraft representative.
  • Falsely claim an Artist page or submit false management, identity or rights evidence.
  • Falsify ownership, credits, percentages, stream information, payment records or release metadata.
  • Use bots, scripts, pay-for-play services, automated devices or coordinated activity to manipulate streams, downloads, likes, follows, chart positions, advertising impressions or other statistics.
  • Encourage users to generate artificial streams, clicks or engagement.
  • Bypass subscription, download, media-protection, security or access controls.
  • Scrape, crawl, copy, index or extract protected parts of the Platform except through authorised tools or ordinary public search-engine indexing.
  • Reverse engineer or interfere with the Platform except where applicable law expressly permits it.
  • Introduce viruses, worms, malicious code, hidden scripts or destructive material.
  • Attempt to gain unauthorised access to accounts, databases, files, administrative areas, rights records or payment systems.
  • Collect or harvest personal information without lawful authority.
  • Harass, threaten, exploit or publish another person’s private information.
  • Upload unlawful, defamatory, fraudulent, pornographic, exploitative, hateful or seriously harmful material.
  • Promote terrorism, serious violence, illegal acts or harmful deception.
  • Use Naijacraft messaging, profiles, comments or playlists for unsolicited spam.
  • Post unauthorised advertising or promotional material outside features intended for promotion.
  • Falsely imply that Naijacraft sponsors, endorses or verifies content.
  • Sell or transfer an account without written approval.
  • Use the Services in a manner that violates applicable law or another person’s rights.

Public search engines may index publicly available pages in accordance with Naijacraft’s technical controls. This does not authorise extraction of private, restricted or protected information.

9. User Content

You remain responsible for the Content you submit.

You represent and warrant that:

  • You own the Content or possess all necessary licences, permissions and authority.
  • Your submission does not infringe copyright, trademark, privacy, publicity, contractual or other rights.
  • All credits, Artist relationships, ownership declarations and metadata are accurate.
  • Any samples, beats, artwork, photographs, performances and compositions have been properly authorised.
  • You have permission to grant Naijacraft the licence described in these Terms.
  • Your Content complies with applicable law and Naijacraft policies.

You are responsible for retaining original files, agreements, licences, split sheets and other ownership evidence. Naijacraft is not your permanent archive or substitute for independent backups.

Content may come from many users. Naijacraft does not guarantee the accuracy, quality, ownership, safety or completeness of every user submission.

10. Your Ownership and the Licence Granted to Naijacraft

You retain the copyright and other ownership rights you lawfully hold in your Content.

By submitting Content, you grant Naijacraft a non-exclusive, worldwide, transferable to its service providers, and royalty-free operational licence to:

  • Host, store, copy and back up the Content.
  • Encode, transcode, compress, format and create technical renditions.
  • Stream, transmit, perform and make the Content available through Naijacraft.
  • Display Artist names, artwork, credits, descriptions and metadata.
  • Create previews, thumbnails and other technical versions necessary for the Services.
  • Make authorised content available for protected offline listening.
  • Deliver creator-authorised Free or Premium downloads.
  • Promote the Content, Artist or Naijacraft service through Naijacraft-owned channels, applications, social pages, editorial features, notifications and app-store listings.
  • Use the Content for security, copyright matching, fraud detection, analytics and service administration.
  • Enable third-party technical providers to perform these functions for Naijacraft.

This licence exists only to operate, secure, improve and promote Naijacraft and the submitted Content. It does not transfer your copyright to Naijacraft.

The operational licence being royalty-free does not cancel royalties that become payable under an approved Naijacraft Rights and Royalties Policy. Royalty eligibility and allocation are governed separately by qualified usage, eligible revenue and approved track-level rights schedules.

You may request withdrawal of Content, subject to existing licences, lawful preservation requirements, financial obligations, disputes, investigations and reasonable technical processing time.

11. Releases and Publication Review

A release submitted to Naijacraft may be reviewed for:

  • Audio and file integrity.
  • Metadata quality.
  • Artwork suitability.
  • Artist identity and management authority.
  • Copyright or duplication risk.
  • Explicit-content classification.
  • Fraud or impersonation indicators.
  • Compliance with Naijacraft policies.
  • Scheduled release information.

Naijacraft may approve a release, return it for correction, restrict it, reject it, schedule it, archive it or withdraw it.

Publication approval is separate from royalty monetization approval.

A release may become publicly playable after publication review even though monetization remains locked. Publication does not mean that Naijacraft has confirmed copyright ownership or approved every royalty percentage.

12. Rights, Royalties and Rightsholder Invitations

Every monetized track requires a separate Master schedule and Composition schedule.

Each schedule must identify the relevant rightsholders and total exactly 100%.

Only an approved primary Artist-team member with the required rights-management permission may submit schedules or invite listed rightsholders.

The person who submits a schedule cannot approve that same schedule. A separate authorised Rights Reviewer must review the schedule and may approve it, reject it or request additional evidence.

Rights-review authority is separate from royalty-accounting authority.

A rightsholder invitation connects a listed share to the invited person’s verified account. It does not create ownership that was not included in the submitted schedule.

Artist management, upload authorship, public verification and royalty ownership remain separate. A manager or Artist-team member may own 0% of a track, and a rightsholder may receive royalties without managing the Artist page.

Only independently approved schedules control royalty allocation.

Naijacraft may hold disputed revenue until evidence is reviewed or the parties provide a binding settlement, court order or other legally sufficient determination.

Approvals, rejections, corrections, invitations, overrides, allocations and payments may be permanently recorded for audit and dispute-resolution purposes.

13. Monetization and Royalty Accounting

Naijacraft may generate eligible revenue from subscriptions, advertising, Premium downloads, promotions, Artist Support and other services.

Not every payment or event constitutes royalty revenue.

Royalty calculations may consider:

  • Qualified streams.
  • Applicable revenue pools.
  • Premium download revenue.
  • Payment-processing charges.
  • Refunds and chargebacks.
  • Invalid traffic.
  • Platform shares and disclosed deductions.
  • Approved ownership percentages.
  • Relevant accounting periods.

Artificial, fraudulent, automated, repeated or otherwise disqualified activity may be excluded.

Free downloads may be recorded for analytics but do not automatically generate Premium download royalties.

No Content becomes payable merely because it was uploaded, published, played or connected to an Artist profile. Monetization requires the applicable approvals, verified rights information and other eligibility conditions described in the Rights and Royalties Policy.

14. Downloads and Offline Listening

A creator may designate eligible releases or tracks as:

  • Free for everyone.
  • Premium listeners only.
  • Subject to the release’s default setting.

Free and Premium direct downloads use authorised, time-limited delivery links. Users must not bypass those links or attempt to obtain protected master-file locations.

A Free download is permission to download and personally use the file subject to copyright law. It is not a transfer of copyright or permission to redistribute, resell, sample, re-upload or commercially exploit the recording.

Protected offline listening is different from a direct file download. Offline access may require login, entitlement verification, device checks or periodic reconnection.

15. Memberships and Paid Services

Before a purchase, Naijacraft will display the material information reasonably necessary to understand the transaction, including the price, currency, duration, included features and important limitations.

Where recurring billing is offered, the renewal interval and charge will be disclosed before authorisation.

Paid access may be suspended after an unsuccessful, reversed, refunded or disputed payment.

Cancellation normally stops future renewal while allowing access until the end of the paid period, unless the purchase screen, applicable policy or law provides otherwise.

Premium access does not transfer copyright, royalty ownership or Artist-management authority.

Refunds and cancellations are governed by the Refund and Cancellation Policy and applicable consumer-protection law.

16. Artist Support

Artist Support is a voluntary payment intended to support an eligible Artist.

Artist Support:

  • Is separate from streaming royalties.
  • Is not an investment, loan or repayable contribution.
  • Does not purchase copyright, equity or royalty ownership.
  • Does not guarantee a product, performance or personal response.

Disclosed processing charges, taxes and platform fees may be removed before the Artist’s support balance is credited.

Support payments remain subject to verification, refunds, chargebacks, fraud controls, compliance review and payout eligibility.

17. Advertising and Promotions

Users purchasing promotions must have authority over the promoted content and must provide truthful information.

Naijacraft may review, reject, pause or remove promotions that are:

  • Misleading or deceptive.
  • Unlawful or unsafe.
  • Infringing.
  • Fraudulent.
  • Technically defective.
  • Inconsistent with Platform policies.

Placement, duration, price and estimated reach will be displayed before payment where applicable.

Estimated reach, impressions or performance are not guarantees of streams, followers, purchases, chart positions or income.

Artificial impressions, automated clicks, manipulated engagement and other invalid promotional activity are prohibited.

18. Payments and Payouts

Payments may be processed through authorised third-party payment providers.

Naijacraft may retain transaction references, payment status and reconciliation information. Full card information is normally handled by the payment provider rather than Naijacraft.

A royalty or support beneficiary must complete the required payout profile and verification before receiving funds.

Only cleared, undisputed and eligible balances become payable.

The current minimum royalty payout threshold is ₦20,000, and the normal eligible processing period is 20th–22nd of each eligible payout month, subject to verification, provider availability, compliance review and applicable law.

A verified failed transfer must return the appropriate reserved amount to Available Balance. A verified reversal must restore the corresponding ledger amount without deleting the original payment record.

Naijacraft may hold payments affected by:

  • Ownership disputes.
  • Fraud or account compromise.
  • Invalid traffic.
  • Incorrect bank information.
  • Chargebacks or refunds.
  • Legal or regulatory requirements.
  • Identity or compliance concerns.

19. Copyright Complaints and Takedowns

Naijacraft respects copyright and responds to properly submitted notices under applicable Nigerian law and the Copyright and Takedown Policy.

A copyright complaint should identify:

  • The protected work.
  • The allegedly infringing Content and its Naijacraft location.
  • The complainant’s contact information.
  • The complainant’s ownership or authority.
  • The requested action.
  • The legally required statements, signature and supporting evidence.

Naijacraft may notify the uploader, restrict access, preserve evidence and hold related earnings while a complaint is reviewed.

An affected uploader may submit a counter-notice or challenge supported by accurate contact details, reasons and evidence.

Automated audio matching, duplicate detection or another similarity indicator may flag Content for review but does not by itself make the final legal determination.

Repeated or deliberate infringement may result in warnings, suspension or account termination in accordance with applicable law.

False, misleading or abusive notices and counter-notices are prohibited.

20. Content Moderation and Enforcement

Naijacraft may investigate suspected violations and take proportionate action, including:

  • Issuing a warning.
  • Requesting correction or evidence.
  • Limiting access or visibility.
  • Suspending uploads, monetization, promotions or payouts.
  • Removing or restricting Content.
  • Cancelling an active invitation.
  • Freezing disputed funds.
  • Suspending or terminating an account.
  • Reporting unlawful activity to relevant authorities.

Naijacraft may use automated tools to identify security, copyright, fraud, spam or safety risks. Material decisions may receive human review where required or appropriate.

Where financial activity or rights history exists, Naijacraft may withdraw or archive Content rather than permanently delete the records required for accounting, evidence, disputes or legal compliance.

Users may use the available complaint or appeal process to challenge a decision.

21. Third-Party Services and Links

Naijacraft may integrate or link to third-party services such as payment providers, email providers, analytics services, social networks, app stores or external websites.

Third parties operate under their own terms and privacy practices.

Naijacraft is not responsible for independent third-party content or conduct. However, this provision does not exclude responsibility that Naijacraft cannot lawfully exclude for a service represented as part of a Naijacraft transaction.

You should review the terms and privacy notices of third-party services before using them.

22. Availability and Disclaimer

Naijacraft will use reasonable care in operating the Services but does not guarantee that every feature will always be uninterrupted, error-free or available on every device or network.

Maintenance, security incidents, internet failures, payment-provider outages and events outside reasonable control may affect availability.

User Content is provided by its respective uploader. Naijacraft does not guarantee that every user submission is accurate, authorised or suitable.

Nothing in these Terms excludes an implied warranty, consumer right or legal responsibility that cannot lawfully be excluded.

23. Limitation of Liability

To the maximum extent permitted by law, Naijacraft will not be responsible for indirect or consequential loss that was not reasonably foreseeable when you entered into this Agreement.

Naijacraft is not responsible for loss caused solely by:

  • Your unauthorised or unlawful Content.
  • Your disclosure of passwords or verification codes.
  • Your failure to maintain reasonable backups.
  • Unauthorised third-party conduct outside Naijacraft’s reasonable control.
  • A third-party service not controlled by Naijacraft.

These limitations do not apply to fraud, wilful misconduct, gross negligence, breach of non-excludable consumer rights, or any liability that Nigerian law does not permit Naijacraft to exclude or limit.

24. Indemnity

To the extent permitted by law, you agree to compensate Naijacraft for direct losses, liabilities, claims and reasonable legal costs resulting from:

  • Content you submitted without necessary rights.
  • Your material breach of these Terms.
  • Fraudulent or unlawful use of the Platform.
  • Your violation of another person’s intellectual-property, privacy or other legal rights.

This obligation does not apply to the extent that a loss was caused by Naijacraft’s own unlawful conduct, negligence or breach of duty.

Naijacraft will provide reasonable notice of a covered claim and will not agree to an unreasonable settlement imposing an admission or non-monetary obligation on you without appropriate consultation.

25. Suspension, Termination and Account Closure

You may request closure of your account through the available account or support process.

Naijacraft may restrict, suspend or terminate an account where reasonably necessary because of:

  • A serious or repeated violation.
  • Fraud or security risk.
  • Copyright infringement.
  • Impersonation or false evidence.
  • Payment abuse.
  • Legal or regulatory requirements.
  • Danger to users, rightsholders or the Platform.

Where appropriate, Naijacraft may give notice and an opportunity to correct or appeal. Immediate restriction may be necessary where there is urgent legal, financial, security or safety risk.

Account closure does not automatically delete:

  • Financial and tax records.
  • Rights schedules and ownership evidence.
  • Payment and payout history.
  • Security and consent records.
  • Copyright complaints.
  • Records required for disputes or legal compliance.

Provisions concerning ownership, licences already exercised, financial settlement, liability, indemnity, disputes and record preservation survive termination where reasonably necessary.

26. Complaints and Dispute Resolution

You should first submit a complaint through admin@naijacraft.com and provide:

  • Your account or Artist name.
  • The relevant Content, transaction or case reference.
  • A clear description of the problem.
  • The outcome you are requesting.
  • Supporting evidence.

Privacy requests may be sent to admin@naijacraft.com. Copyright notices may be sent to admin@naijacraft.com.

Naijacraft will assess the complaint, preserve relevant records and route it to an appropriate reviewer.

Where possible, the parties should attempt to resolve the matter through good-faith discussion before commencing formal proceedings.

Nothing in these Terms prevents a person from contacting a competent regulator, payment provider, court or other authority, including the Nigeria Data Protection Commission, Federal Competition and Consumer Protection Commission or Nigerian Copyright Commission.

27. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Subject to any mandatory consumer right or regulator jurisdiction, disputes that cannot be resolved through the Naijacraft complaint process may be submitted to a court or other competent tribunal in Nigeria.

28. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply. The invalid provision will be interpreted or limited only to the minimum extent necessary.

A delay in enforcing a provision does not permanently waive the right to enforce it.

You may not transfer your rights or obligations under this Agreement without Naijacraft’s written consent. Naijacraft may transfer this Agreement as part of a lawful merger, restructuring, financing or sale of the relevant business, subject to applicable privacy and consumer-protection requirements.

These Terms and the incorporated policies constitute the agreement between you and Naijacraft concerning the Services, except for any separate written agreement expressly signed by authorised parties.
